These Terms and Conditions ("Terms") govern your use of seekingomstudio.com and the services offered by Seeking OM Studio LLC ("Seeking OM Studio," "we," "us," or "our"). Please read them carefully. By using our website or engaging any of our services, you agree to these Terms and to our Privacy Policy.
If you do not agree to these Terms, please do not use the website or services.
By accessing or using seekingomstudio.com (the "Site"), enrolling in a Yoga program, purchasing VOD access, submitting a Begin Here inquiry, licensing music, or engaging any of our studios, you agree to these Terms and our Privacy Policy.
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Continued use of the Site or services after an update constitutes acceptance of the updated Terms. If a change is material, we will make reasonable efforts to notify you by email if we have your address on file or through a notice on the Site.
Seeking OM Studio operates as a five-studio brand offering:
Specific terms for each studio are in the sections below. If a separately signed agreement (such as a Statement of Work or licensing agreement) addresses a topic differently than these Terms, that signed agreement controls.
You must be at least 18 years old to engage Studio Services, enroll in a Yoga program, or sign a music license. By using these services, you represent that you are 18 or older.
Some VOD content may be appropriate for minors with parental consent; however, payment for any service requires an adult account holder, and the adult account holder is responsible for the minor's use.
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to notify us promptly if you become aware of any unauthorized use of your account.
All content on the Site, including text, graphics, logos, photography, music, video, code, course materials, and design assets, is the property of Seeking OM Studio or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
Limited personal-use rights. When you purchase VOD access, you receive a non-exclusive, non-transferable right to stream the included classes for personal use during the active period of your purchase. When you enroll in a CE program or certification, you receive a non-exclusive, non-transferable right to access the program materials for your personal study. Music streamed on Spotify, Apple Music, and other licensed platforms is governed by those platforms' terms and your personal-use rights with them.
What you may not do. Without our prior written permission, you may not:
Your content. When you submit content to us (such as testimonials, materials shared during a Studio engagement, or feedback), you keep ownership of it but grant us a non-exclusive, royalty-free license to use it as needed to deliver the services you have engaged. Where we want to use your content beyond that scope (for example, a public case study or testimonial), we will ask you first.
You agree not to:
We reserve the right to suspend or terminate access for users who violate these conduct standards.
Payment processors. Payments for Yoga programs, certifications, and Studio Services on seekingomstudio.com are processed by Stripe. Payments for VOD passes and memberships are processed by Recess.tv. All prices are listed in U.S. Dollars (USD) unless otherwise specified.
Taxes. Where applicable, sales tax or other taxes will be added to your purchase as required by law.
Failed payments. If a payment fails, we reserve the right to suspend access to the relevant program or service until the issue is resolved.
Refund policies vary by service. See Section 07 (Yoga Programs), Section 08 (VOD), Section 09 (Music Licensing), and Section 10 (Studio Services) for specifics. No refund is owed for services already delivered.
This section applies to Yoga Certification (100, 50, and 30 hour tiers) and YACEP Continuing Education programs.
Prerequisites. All Seeking OM Studio certification and continuing education programs are designed as supplemental specialization training for teachers who have already completed a minimum 200-hour Yoga Teacher Training (YTT). Yoga Alliance YACEP credit is only available to teachers who hold an active RYT designation. Students without an active RYT may enroll for personal study and enrichment but will not receive YACEP credit.
Delivery. Programs are delivered online through Webflow Memberships on seekingomstudio.com. Pacing is self-directed unless otherwise stated for a specific program. Access to enrolled materials is granted at the time of payment.
Refund policy.
To request a refund, email us at the address in Section 14 within the applicable window. Refunds are processed back to the original payment method within 10 business days of approval.
Certificates and YACEP reporting. Upon completion of a Yoga Alliance eligible program, we issue a certificate of completion and report YACEP credit hours to Yoga Alliance for active RYT students. Reporting timelines are subject to Yoga Alliance's processing schedule, which is outside our control.
Authority granted by completion. Completion of a Seeking OM Studio program qualifies the graduate to teach the relevant content within their own classroom in a manner consistent with their underlying RYT credentials. Completion does not authorize the graduate to certify other teachers, issue YACEP credit, or represent themselves as a Yoga Alliance Registered School. Misrepresenting Seeking OM Studio credentials is a violation of these Terms.
Practice safely. Yoga programs are educational and the practices taught (including Restorative Yoga and Yin Yoga, which involve sustained holds, prop-supported postures, and deep relaxation) carry the same physical risks as any movement practice. Consult a qualified medical professional before beginning any new physical practice. We are not responsible for injuries or health outcomes arising from practice based on our materials.
Our on-demand class library is hosted on Recess.tv. Use of the VOD library is governed by both these Terms and Recess.tv's separate terms of service and privacy policy.
Access tiers.
Pricing changes. We may adjust VOD pricing from time to time. Changes will not affect passes or active memberships you have already purchased.
Refund policy for VOD.
Personal use only. VOD passes and memberships are for individual use. Sharing access credentials, recording or downloading classes, and any commercial or group use are violations of these Terms and of Recess.tv's terms.
Ownership. All original music released under the Seeking OM Studio name is owned by Seeking OM Studio LLC. All rights are reserved.
Personal listening. Streaming our music on Spotify, Apple Music, Amazon Music, Pandora, YouTube Music, Tidal, Deezer, and other licensed platforms is governed by those platforms' terms of service. Personal listening is permitted in the manner each platform allows.
Licensing required for any other use. Any public, commercial, broadcast, sync, or production use of Seeking OM Studio music requires a written license agreement signed by both parties before any use is authorized. This includes use in:
Use of Seeking OM Studio music in any of the above contexts without an executed license is unauthorized and constitutes copyright infringement.
How to license. Music licensing is inquiry-only. Submit a licensing inquiry through the Begin Here page at seekingomstudio.com. We review every inquiry personally. Licensing terms, scope, and fees are negotiated per project and documented in a separate written license agreement.
Collaboration. Collaboration inquiries from artists, producers, vocalists, and instrumentalists are welcomed through the same process. Collaboration is also subject to a separate written agreement.
This section applies to Digital Design Studio, Digital Marketing Studio, and Business Ops and HR Studio engagements.
Inquiry-only. All Studio Services engagements are inquiry-only. The intake process is described on the Begin Here page and proceeds in four steps: inquiry submission, internal review by Kae and Scotty, pre-qualification conversation, and a written scope and confirmation. No work begins until both sides have aligned in writing.
Engagement agreements. Every Studio Services engagement is governed by an individually signed engagement agreement (a Statement of Work, retainer agreement, or licensing agreement, as applicable) that includes scope, deliverables, timeline, payment terms, revision limits, and the refund or cancellation policy specific to that engagement. Where the engagement agreement and these Terms address the same topic, the engagement agreement controls.
Standard payment structure. Unless the engagement agreement specifies otherwise:
Hourly rates.
Webflow build post-launch support. Every new build engagement includes a complimentary post-launch support window for routine fixes and minor adjustments. The window is set by tier:
Outside the post-launch window, ongoing maintenance and content management are available through a Webmaster Retainer or hourly engagement.
Webmaster Retainer specifics. Retainer hours are use-it-or-lose-it each month and do not roll over. Work that exceeds the included hours in a given month is discussed with the client before proceeding and billed at $150 per hour. Retainers cover routine maintenance and content management; structural redesigns, new pages, copywriting, and new CMS collections are scoped and quoted separately.
Brand collateral prerequisite. Brand Collateral design (business cards, signage, social templates, presentation decks, and similar) requires an established brand identity, including a logo, color palette, typography system, and brand guidelines, to already be in place. If those elements do not exist, a Brand Identity System or Full Brand Strategy engagement should be completed first.
HR Studio scope and limits. HR services are anchored in Massachusetts and federal employment law. Engagements covering employees in jurisdictions outside Massachusetts are scoped at custom pricing because multi-state compliance requires additional research. HR consulting and compliance reviews provide senior level HR guidance grounded in current employment law; they are not legal counsel and do not replace the advice of an employment attorney. Where a situation carries significant legal exposure, we recommend engaging an attorney in parallel.
Cancellation and refunds for Studio Services. Refund and cancellation terms are set in each engagement agreement. As a general framework, deposits are non-refundable once work has begun, and milestone payments cover work delivered up to and including that milestone. Retainer cancellations are honored per the notice period stated in the retainer agreement (typically 30 days written notice). No refund is owed for hours already used or work already delivered.
Capacity. Seeking OM Studio maintains a deliberately limited client roster across every studio. We may decline engagements that fall outside our scope, exceed available capacity, or do not align with our values.
Services provided "as is." The Site and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Site or services will be uninterrupted, error-free, secure, or that they will meet your specific requirements or expectations.
Yoga and physical practice. Yoga programs and VOD classes are educational in nature. Yoga is a physical practice that carries risk of injury. Restorative Yoga and Yin Yoga involve sustained holds, prop-supported postures, and deep relaxation, which can produce physical sensation, emotional release, and effects on the nervous system. Consult a qualified medical professional before beginning any new physical practice, particularly if you are pregnant, recovering from injury, managing a health condition, or taking medication. You assume all risk associated with your practice. Seeking OM Studio is not responsible for injuries, health outcomes, or other consequences arising from yoga practice based on our materials.
Music and frequency framing. Seeking OM Studio music, including compositions that incorporate Solfeggio frequencies, binaural beats, and vibroacoustic sound design, is musical and artistic work. References to frequencies, intentions, or effects are descriptive of the compositional approach and the traditional associations of these elements. Our music is not a medical device, therapy, or treatment, and we make no medical claims. Listening is not a substitute for professional medical, mental health, or therapeutic care.
Business, HR, and consulting work. Business strategy, operations, marketing, and HR advisory work delivered by Seeking OM Studio is informed by senior level professional experience, formal credentials, and current best practice. It is not legal counsel, tax advice, accounting advice, financial advice, or professional therapy. Consult an attorney for legal matters, a CPA for tax matters, and other licensed professionals as appropriate to your situation.
Third-party services. The Site links to and integrates with third-party platforms including Recess.tv, Stripe, Webflow, Google services, streaming platforms, and others. We are not responsible for the content, availability, security, or practices of those third parties. Your use of those services is governed by their terms.
Limitation of liability. To the maximum extent permitted by law, Seeking OM Studio LLC, its founders, members, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill, arising from or related to your use of the Site or services. Our total aggregate liability for any claim arising out of or related to these Terms or the services is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Seeking OM Studio LLC, its founders, members, employees, contractors, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:
Governing law. These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before filing any formal claim, you agree to contact us at the email address in Section 14 and try in good faith to resolve the dispute informally. Most issues can be resolved through direct conversation.
Binding arbitration. If informal resolution does not succeed within 60 days, any dispute, claim, or controversy arising out of or relating to these Terms or the services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Boston, Massachusetts, in English, before a single arbitrator. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information. Either party may also bring a qualifying claim in small claims court in Massachusetts.
Class action waiver. To the extent permitted by law, you and Seeking OM Studio agree that any dispute will be brought only in an individual capacity and not as part of any class, collective, or representative action.
Changes to dispute resolution. If we change this Section materially in the future, you may reject the change by notifying us in writing within 30 days of the change taking effect, in which case your existing dispute resolution terms continue to apply.
Severability. If any part of these Terms is found unenforceable, the rest remains in full force and effect.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Entire agreement. These Terms, together with our Privacy Policy and any signed engagement agreement, constitute the complete agreement between you and Seeking OM Studio regarding the services and supersede any prior agreements on the same subject.
Force majeure. Neither party is liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labor disputes, internet outages, third-party service failures, government action, and public health emergencies.
Survival. Sections 04 (Intellectual Property), 09 (Music Licensing), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), 13 (Governing Law and Dispute Resolution), and this Section 14 survive termination of these Terms.
